DescriptionThis unit begins with a brief comparison of business entities, especially partnership. The concept and process of incorporation are examined. Company finance, both equity and debt finance, and the maintenance of the company's share capital will be studied as well as the topics of accounts, auditors, and companies in financial difficulty. The management of companies and directors' duties will be explored as well as the rights and remedies of company shareholders. Company takeovers, prospectus provisions and securities regulation are studied in depth in the elective, CLAW2203 Stock Markets and Derivatives Law.
