Description This unit examines the law relating to modern corporations. After examining the background to the present legislation and administrative framework, the topics discussed include: the concept of corporate personality; business planning and company formation; how companies are managed; the role of members; the obligations of directors; company reporting and disclosure; company finance; contracting by companies and corporate liability; and an introduction to the external administration of companies in financial difficulty.
